Terms of Service
1. What Whereas is
Whereas is a software service that answers questions about contracts you upload, with a citation to the section it drew the answer from. It is a document review aid, not a lawyer, and it does not provide legal advice.
2. Not legal advice
Nothing Whereas produces, including a grounded answer or a “not stated” response, is legal advice or a substitute for review by a licensed attorney. Whereas reports what your document says. It does not apply outside law, and it does not offer an opinion on whether a clause is enforceable, valid, or advisable. You are responsible for independently verifying any answer against the source document before relying on it, including checking that the citation actually supports the answer given.
3. Your documents and data
You retain all ownership of every document, matter record, and piece of client data you upload. Whereas does not claim any ownership over it. You represent that you have the right to upload whatever you provide, including any client-confidential material, and that doing so does not violate an obligation you owe to a third party.
4. How your content is processed
Uploaded documents are parsed and stored to power the product's answers. Questions and document sections are sent to a third-party large language model provider to generate answers; that provider does not use your content to train its models. 5. Free pilot terms
The free pilot is provided at no cost, with no commitment on either side. Either party may end the pilot at any time. Ending a pilot does not delete your account's documents or history unless you separately request deletion.
6. Confidentiality
Whereas treats every document and matter record you upload as confidential. Access is scoped per account and, for paralegal service accounts working across multiple client firms, further scoped per client firm: one client firm's data is never visible to another, and never visible outside your account.
7. Disclaimers and limitation of liability
Whereas is provided “as is,” during the free pilot, without warranty of any kind. To the maximum extent permitted by law, Whereas is not liable for any decision made in reliance on its output, or for any indirect, incidental, or consequential damages.
8. Termination
You may stop using Whereas and close your account at any time. Whereas may suspend or terminate access for a violation of these terms, including uploading content you do not have the right to share.
9. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.
